END-USER LICENSE AGREEMENT FOR Onealpha.com SOFTWARE
IMPORTANT-READ CAREFULLY: This Onealpha.com End-User License
Agreement ("EULA") is a legal agreement between you
(either an individual or a single entity) and Alpha Insurance Group,
Inc. ("Onealpha.com") for the Onealpha.com software
product identified above, which includes computer software and may
include associated media, printed materials, and "online"
or electronic documentation ("SOFTWARE PRODUCT"). By
installing, copying, or otherwise using the SOFTWARE PRODUCT, you
agree to be bound by the terms of this EULA. If you do not agree to
the terms of this EULA, do not install, copy or use the SOFTWARE
PRODUCT.
SOFTWARE PRODUCT LICENSE
The SOFTWARE PRODUCT is protected by copyright laws and
international copyright treaties, as well as other intellectual
property laws and treaties. The SOFTWARE PRODUCT is licensed, not
sold.
GRANT OF LICENSE. This EULA grants you the following rights:
GRANT. Subject to payment of applicable license fees, Onealpha.com
grants you a non-exclusive license to use the Software and any
accompanying documentation ("Documentation") in the manner
described below under "Scope of Grant"
SCOPE OF GRANT.
·Use the Software on any SINGLE computer;
·Use the Software on a network, PROVIDED that each person accessing
the Software through the network must have a copy licensed to that
person or an authorized network multi-user license.
·Use the Software on a second computer so long as only one copy is
used at a time by ONE individual only;
·Copy the Software for archival purposes ONLY, provided any copy
must contain all the original Software's proprietary notices.
YOU MAY NOT:
·Permit other individuals to use the Software except under the
terms listed above;
·Permit concurrent use of the Software except with a multi-user
license.
Modify, translate, reverse engineer, de-compile, disassemble (except
to the extent applicable laws specifically prohibit such
restriction), or create derivative works based on the Software;
·Copy the Software other than as specified above;
·Rent, lease, grant a security interest in or otherwise transfer
rights to the Software, or
·Remove any proprietary notices or labels on the Software or its
output.
TERMS OF PRODUCT SUPPORT
Onealpha.com's Software Program contains certain code that disables
certain features until the software is registered, at which time
these features are unlocked and the software is fully functional.
Software customers are given "12 months" of product
support from "Date of Registration". The "Date of
Registration" is defined as the date that the registration
license is purchased from Onealpha.com. This support will be
governed by the current support policies of Onealpha.com of which
rules are subject to change from time to time. "12 months"
is defined as the effective 12 month calendar from the date of
registration of the product which is contingent on that product and
version being sold and supported by Onealpha.com Although
Onealpha.com intends to continue the "12 month" policy, it
may or may not be continued for subsequent versions of Software. By
upgrading to a new version, the purchaser will acquire the support
policy which applies to that version. Support includes email
notification of product updates and support issues.
DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
* Not for Resale Software. Sale and Distribution of Onealpha.com
software is handled exclusively by Onealpha.com, you may not resell,
or otherwise transfer for value, the SOFTWARE PRODUCT.
* Maintenance of Copyright Notices. You must not remove or alter any
copyright notices on all copies of the SOFTWARE PRODUCT.
* Limitations on Reverse Engineering, Decompilation, and
Disassembling. You may not reverse engineer, decompile, or
disassemble the SOFTWARE PRODUCT, except and only to the extent that
such activity is expressly permitted by applicable law
notwithstanding this limitation.
* Separation of Components. The SOFTWARE PRODUCT is licensed as a
single product. Its component parts may not be separated for use on
more than one computer.
* Rental. You may not rent, lease, or lend the SOFTWARE
PRODUCT.
* Performance or Benchmark Testing. You may not disclose the results
of any benchmark test of the SOFTWARE PRODUCT to any third party
without Onealpha.com's prior written approval.
* Support Services. Onealpha.com may provide you with support
services related to the SOFTWARE PRODUCT ("Support
Services"). Use of Support Services is governed by the
Onealpha.com policies and programs described in the user manual, in
"online" documentation, and/or in other
Onealpha.com-provided materials. Any supplemental software code
provided to you as part of the Support Services shall be considered
part of the SOFTWARE PRODUCT and subject to the terms and conditions
of this EULA. With respect to technical information you provide to
Onealpha.com as part of the Support Services, Onealpha.com may use
such information for its business purposes, including for product
support and development. Onealpha.com will not utilise such
technical information in a form that personally identifies you.
* Software Transfer. You may permanently transfer all of your rights
under this EULA (i) provided you retain no copies; (ii) you transfer
all of the SOFTWARE PRODUCT (including all component parts, the
media and printed materials, any upgrades; (iii) if applicable, you
include the Certificate of Authenticity, and (iv) the recipient
agrees to the terms of this EULA. If the SOFTWARE PRODUCT is an
upgrade, any transfer must include all prior versions of the
SOFTWARE PRODUCT.
* Termination. Without prejudice to any other rights, Onealpha.com
may terminate this EULA if you fail to comply with the terms and
conditions of this EULA. In such event, you must destroy all copies
of the SOFTWARE PRODUCT and all of its component parts.
UPGRADES. If the SOFTWARE PRODUCT is labelled as an upgrade, you
must be properly licensed to use a product identified by
Onealpha.com as being eligible for the upgrade in order to use the
SOFTWARE PRODUCT. A SOFTWARE PRODUCT labelled as an upgrade replaces
and/or supplements the product that formed the basis for your
eligibility for the upgrade. You may use the resulting upgraded
product only in accordance with the terms of this EULA. If the
SOFTWARE PRODUCT is an upgrade of a component of a package of
software programs that you licensed as a single product, the
SOFTWARE PRODUCT may be used and transferred only as part of that
single product package and may not be separated for use on more than
one computer.
COPYRIGHT. All title, including but not limited to copyrights, in
and to the SOFTWARE PRODUCT and any copies thereof are owned by
Onealpha.com or its suppliers. All title and intellectual property
rights in and to the content which may be accessed through use of
the SOFTWARE PRODUCT is the property of the respective content owner
and may be protected by applicable copyright or other intellectual
property laws and treaties. This EULA grants you no rights to use
such content. All rights not expressly granted are reserved by
Onealpha.com.
U.S. GOVERNMENT RESTRICTED RIGHTS. The SOFTWARE PRODUCT is provided
with RESTRICTED RIGHTS. Use, duplication, or disclosure by the
Government is subject to restrictions as set forth in subparagraph
(c)(1)(ii) of the Rights in Technical Data and Computer Software
clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the
Commercial Computer Software Restricted Rights at 48 CFR 52.227-19,

EXPORT RESTRICTIONS. You agree that you will not export or re-export
the SOFTWARE PRODUCT to any country, person, entity or end user
subject to U.S.A. export restrictions. Restricted countries
currently include, but are not necessarily limited to Cuba, Iran,
Iraq, Libya, North Korea, Sudan, and Syria. You warrant and
represent that neither the U.S.A. Bureau of Export Administration
nor any other federal agency has suspended, revoked or denied your
export privileges.
NO WARRANTIES. Onealpha.com expressly disclaims any warranty for the
SOFTWARE PRODUCT. THE SOFTWARE PRODUCT AND ANY RELATED DOCUMENTATION
IS PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY
KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE
IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT
OF USE OR PERFORMANCE OF THE SOFTWARE PRODUCT REMAINS WITH YOU.
LIMITATION OF LIABILITY. In no event shall Onealpha.com or its
suppliers be liable for any damages whatsoever (including, without
limitation, damages for loss of business profits, business
interruption, loss of business information, or any other pecuniary
loss) arising out of the use of or inability to use the SOFTWARE
PRODUCT, even if Onealpha.com has been advised of the possibility of
such damages. Because some states and jurisdictions do not allow the
exclusion or limitation of liability for consequential or incidental
damages, the above limitation may not apply to you.
MISCELLANEOUS
If you acquired this product in the United States or through the
internet, this EULA is governed by the laws of the State of
Florida.

TAXES, DUTIES, AND OTHER FEES
User agrees to be responsible for any taxes, duties, or other
applicable fees derived from the licensing of the SOFTWARE. Duties,
fees, import taxes, etc. vary by country or state. The user should
investigate whether they are liable for any applicable taxes.
Onealpha.com will collect sales tax for the State of Florida only
unless existing laws change. |
